Name and Center of the Association

Article 1- The name of the association is "OL MY FUTURE ASSOCIATION".

Its short name is “GOLD”.

The headquarters of the association is İzmir Karşıyaka.

The Association may open branches abroad and within the country.

Purpose of the Association 

Article 2- The aim of our association is to ensure the activation and development of civil society activities, to provide social assistance and solidarity, by operating at national and international levels in the fields of humanitarian aid, social solidarity, education and culture, by being loyal to Atatürk's Principles and Revolutions and the values of the Republic.

To meet the needs of people in need of help, regardless of language, religion, sect, race, gender, at home and abroad, to develop people's awareness of social responsibility, to develop a sense of cooperation and solidarity, to raise the socio-economic level of societies, to carry out studies for the promotion and protection of universal values of humanity, building bridges between people and countries, wherever they are in distress, disaster, war, natural disaster, etc. To deliver necessary humanitarian aid to all people who have been victimized, injured, crippled, in need of treatment, starving or in the open, orphaned and persecuted for reasons, and to take all necessary initiatives to prevent violation of the fundamental rights and freedoms of these people, to fight against poverty and to train qualified people. To engage in education and training activities at all levels with the aim of In cases of natural disasters, wars, other disasters that occur in our country and other countries, and related migration, it is aimed to heal the wounds of the victims by helping them to cling to life, to provide food, clothing, health, education, fuel, marriage, home building, business establishment, shelter and transportation to the needy in ordinary times. It was established with the aim of carrying out activities that will support all kinds of activities that will benefit the society and humanity by providing all kinds of material and moral assistance in all other matters in kind, in cash.

Study Subjects and Formats

  1. To carry out studies aimed at creating qualified individuals, qualified institutions and qualified societies with the projects to be realized.

  2. To create cadres and institutions that will lead our society and the civilization basin of which we belong,

  3. To contribute to the development of our society and the productivity of our people in fields such as science, ideas, history, culture, religion, morality, economy and art,

  4. To spread the spirit of cooperation and solidarity among its members and in all social layers; education, food, clothing, health, rent, fuel, etc. to the needy. To provide all kinds of material and moral assistance in kind, in cash, in areas of essential need,

  5. Accepting donations of food, cleaning, clothing and fuel to be distributed to those in need within the scope of Food Banking and operating within the scope of FOOD BANKING,

  6. United Nations, World Bank, European Union etc. It cooperates with international organizations and Non-Governmental Organizations (NGOs), benefits from national and international funds, prepares projects to benefit from and supports the organizations that prepare it.

  7. To protect the orphans, elderly, widows, orphans, orphans, street children, all kinds of people stuck in the streets, displaced persons, refugees, and those stranded on the road, and to provide all kinds of material and moral assistance, in kind and in cash,

  8. It helps its members and all the people of the country to have a job and a profession by training them as technical and qualified individuals by opening courses, seminars in the fields of culture, civilization, art, spirituality, morality, foreign language and vocational education. In order for the education to be carried out at the desired levels and easily, it cooperates with the existing educational institutions as well as opens schools, hostels, dormitories, guest houses, student houses, libraries, reading halls for education and training, or benefits from the places and teaching of other non-governmental organizations in these matters.

  9. It treats poor patients in need of health care, and contributes to all kinds of drugs, medical supplies and treatment costs in cases of birth, illness and accident. He has his treatments done at home and abroad. It helps those who establish dispensaries, clinics, maternity homes, hospitals, mobile health care teams, health cabins, pharmacies and similar facilities that will contribute to this purpose. Provides preventive health services, patient transport services. Conducts joint studies and purchases services with all organizations providing services in the field of health,

Contributing to the fulfillment of public services by non-governmental organizations, cooperating with public institutions and organizations and local administrations for this purpose, as well as ensuring their voluntary participation in public services, setting an example and making practices in this direction,

  11. It provides all kinds of material and moral assistance to the disaster victims who are exposed to floods, earthquakes, fires, landslides, etc. in our country and other countries. For this purpose, it prepares teams to be assigned in case of disasters and carries out storage activities to keep the necessary materials ready,

  12. Giving scholarships to students and academics,

  13. To conduct researches for the activation and development of its activities,

  14. Organizing training activities such as courses, seminars, workshops, conferences and panels,

  15. To obtain all kinds of information, documents, documents and publications necessary for the realization of the purpose, to establish a documentation center, to publish publications such as newspapers, magazines, books and bulletins in line with their aims, to establish TV, to broadcast, to provide a healthy working environment, To provide technical tools and equipment, fixtures and stationery,

  16. To carry out fundraising activities and to accept donations from within the country and abroad, provided that the necessary permissions are obtained,

  17. To establish and operate economic, commercial and industrial enterprises in accordance with the legal regulations in order to provide the income it needs for the realization of the purposes of the regulation,

  18. It brings the aid specified in the purpose to the attention of the public through written and visual publications, makes or has it made printed, audio or visual publications that encourage social solidarity and comply with national and moral values in order to draw attention to this humanitarian issue. In addition, it makes or has made cultural and artistic activities such as press, cinema films, TV films, commercials, and theater works that will serve this purpose. He/she uses the internet in the studies to achieve his/her purpose.

  19. Opening clubs, establishing social and cultural facilities and furnishing them so that its members can benefit and spend their spare time,

  20. Meal meetings, exhibitions, sports, excursions and entertaining activities etc. in order to develop and maintain human relations among its members. to organize or to enable its members to benefit from such activities,

  21. Road, bridge, fountain, water network, resting place, playground, school, social and cultural facilities, place of worship, etc. builds structures and undertakes or assists in repair work.

  22. Purchasing, selling, renting, leasing movable and immovable property needed for the activities of the Association and establishing real rights on immovables,

  23. To establish foundations, to establish a federation or to join an established federation in the country and abroad, if deemed necessary for the realization of the purpose, to establish facilities that associations can establish by obtaining the necessary permission,

  24. Engaging in international activities, being a member of associations or organizations abroad, and cooperating or helping with these organizations,

  25. Associations law, if deemed necessary for the realization of the purpose. To carry out joint projects with public institutions and organizations on matters falling under their jurisdiction, without prejudice to the provisions of the Law on the Relationship of Associations and Foundations with Public Institutions and Organizations.

  26. Accepts all kinds of vehicle donations to use in the activities of the association, buys, rents, covers its expenses,

  27. Accepts all kinds of sacrifice donations in order to evaluate it in line with its purposes, organizes sacrifices in the country and abroad,

  28. Establishing a fund to meet the needs of the association members such as food, clothing, other goods and services and short-term credit needs,

  29. To open branches and representative offices where deemed necessary,

  30. To create platforms to realize a common purpose with other associations or foundations, unions and similar non-governmental organizations in areas that are related to the purpose of the association and are not prohibited by law,

  31. It establishes a volunteer health team, provides on-the-job training, sends health personnel and medical supplies to the needed regions for humanitarian aid in the country and abroad. It organizes events to raise awareness of the society about health.

  32. Establishes 'Search and Rescue Health Assistance' teams to work in disasters; provides the necessary tools and materials for these works; provides the necessary training to those in charge. It stores vehicles, equipment, materials and materials in certain places and establishes logistics centers for disaster preparedness and when necessary.

  33. It does all kinds of work to save the society and young people from alcohol, drug, substance addiction, gambling and similar bad habits and to bring them into the society.

  34. To carry out all kinds of activities that are necessary for the realization of the purpose and that are not prohibited by law.

  35. The association uses at least 2/3 of its income during the year for its purposes.

Membership Conditions and Procedures

Article 3- Every natural and legal person who has the capacity to act and accepts to work in this direction by adopting the aims and principles of the association has the right to become a member of the association.

However;

  • Those who are prohibited from being a member of associations by law,

  • Foreigners who do not have the right to reside in our country,

  • Even if their sentences have been suspended or pardoned, those who are sentenced to imprisonment for disgraceful crimes or who have been given a decision to defer the announcement of the verdict,

  • Those who have voluntarily quit their membership or have been removed from membership,

They cannot be members.

Those who have provided significant financial and moral support to the association may be accepted as Honorary or Honorary members with the decision of the board of directors.

Notifications to members are made on the basis of the contact information they have declared in the association.

When the number of branches of the association is more than three, the membership records of those registered at the headquarters of the association are transferred to the branches. New membership applications are made to the branch. Acceptance to membership and removal from membership are made by the branch administrative boards and notified to the Headquarters in a letter within thirty days at the most.

 

 

Unsubscribe

Article 4- Every member has the right to leave the association, provided that he or she notifies him in writing. As soon as the resignation petition reaches the board of directors, the exit procedures are deemed to have been concluded.

However, even in this case, the member is obliged to pay his debts to the association.

Unsubscribe

Article 5- In the following cases, dismissal from membership occurs as a result of the decision of the Board of Directors with absolute majority. Member;

A- Behavior contrary to the statute of the association

B- Failure of the association to act in accordance with its purpose

C- Failure to pay the membership fee within 3 months despite the warning given by the board of directors of the association.

D- Failure to comply with the decisions made by the authorized bodies of the association

E- Losing the conditions of being a legal member

F- It is determined by a final court decision that the member has committed one of the intentional crimes in the Turkish Penal Code against the members of other associations.

Those who leave or have been removed from the association are deleted from the member registry and the association cannot claim rights on its assets.

Association Bodies

Article 6- The organs of the association are as follows.

  1. General Assembly

  2. Board of Directors

  3. supervisory board

General Assembly, Meeting and Call Times

Article 7. The general assembly is the most authorized decision-making body of the association and consists of the natural delegates of the branch from the members registered to the association and the delegates elected by the members registered in the branch.

General Assembly;

1- Ordinarily, at the times specified in this regulation,

2- In cases where it is deemed necessary by the board of directors or the supervisory board or upon the written request of one-fifth of the members of the association, extraordinary meetings are held within thirty days.

The Ordinary General Assembly convenes every 3 years in March on the day, place and time to be determined by the Board of Directors.

The general assembly is called to the meeting by the board of directors.

If the board of directors does not call the general assembly meeting; Upon the application of one of the members, the Magistrate is obliged to invite 3 members of the association to the general assembly meeting.

Call Procedure

    The board of directors arranges the list of members who have the right to attend the general assembly according to the association's bylaws. Members who have the right to attend the general assembly are invited to the meeting by announcing the day, time, place and agenda in a newspaper or by announcing them in writing or via e-mail or social media networks at least fifteen days in advance. In this call, if the meeting cannot be held due to lack of quorum, the date, time and place where the second meeting will be held is also stated. The period between the first meeting and the second meeting cannot be less than seven days and more than sixty days.

    If the meeting is postponed for any reason other than the lack of quorum, this situation is announced to the members in accordance with the call procedure for the first meeting, including the reasons for the postponement. The second meeting must be held within six months at the latest from the date of adjournment. Members are called back to the second meeting in accordance with the principles specified in the first paragraph.

    General assembly meeting cannot be postponed more than once.  

Meeting Procedure

    The general assembly convenes with the participation of two-thirds of the absolute majority of the members who have the right to participate, in the case of a bylaw change or the dissolution of the association; In the event that the meeting is postponed due to the lack of a majority, majority is not sought in the second meeting.

However, the number of members attending this meeting cannot be less than twice the total number of members of the board of directors and supervisory board.

The list of members entitled to attend the general assembly is made available at the meeting place. The identity documents issued by the official authorities of the members who will enter the meeting place are checked by the members of the board of directors or the officials to be appointed by the board of directors. Members enter the meeting place by signing against their names on the list prepared by the board of directors.

If the meeting quorum is met, the situation is determined by this minute and the meeting is opened by the chairman of the board of directors or one of the board members to be appointed. If the meeting quorum is not met, a minute is drawn up by the board of directors.

After the opening, a chairman and a sufficient number of vice-chairmen and a secretary are elected to manage the meeting, and a council committee is formed.

Members who cast their votes in the voting for the election of the organs of the association are required to show their ID to the council committee and sign their names on the list of attendees.

The management and security of the meeting belongs to the chairman of the council.

In the general assembly, only the items on the agenda are discussed. However, it is obligatory to include on the agenda the issues that are requested to be discussed in writing by one-tenth of the members present at the meeting.

Each member has one vote at the general assembly; The member has to use the game personally. Honorary members may attend general meetings but can not vote. If the legal person is a member, the chairman of the board of directors or the person to be assigned to represent the legal person votes.

The topics discussed and the decisions taken at the meeting are written in a minute and signed by the chairperson of the council and the clerks. At the end of the meeting, the minutes and other documents are delivered to the chairman of the board of directors. The chairman of the board of directors is responsible for preserving these documents and delivering them to the newly elected board of directors within seven days.

  Voting and Decision-Making Procedures and Forms of the General Assembly

Article 8- Unless a contrary decision is taken in the general assembly, the elections of the members of the board of directors and supervisory board are voted openly, just like the resolutions on other issues. If it is decided that the election of the members of the board of directors and the supervisory board will be held secretly, secret ballots are the votes that are collected by throwing the papers or ballot papers sealed by the meeting chairman into an empty container after the members have done what is necessary, and which are determined by casting openly after the end of the voting.

  In open voting, the method specified by the meeting chairman is applied.

  General assembly resolutions and bylaw changes are taken by the absolute majority of the members attending the meeting. In so far, the decisions to dissolve the association can only be taken with a two-thirds majority of the members attending the meeting.

Duties and Powers of the General Assembly

Article 9- The following written matters are discussed and resolved by the general assembly.

1-Electing the bodies of the association

2-Changing the association's charter

3- Discussing the reports of the board of directors and supervisory board and acquitting the board of directors,

4- Discussing the budget prepared by the board of directors and accepting it as it is or to be changed,

5- Supervision of other organs of the association and dismissal of them for justifiable reasons when deemed necessary,

6- Examining and deciding on the objections made against the decisions of the board of directors regarding the rejection or expulsion of the members.

7- Authorizing the board of directors to purchase immovable properties required for the association or to sell existing immovable properties.

8- Examining and approving the regulations to be prepared by the Board of Directors regarding the activities of the association, as it is or by changing it.

9- Determining the wages to be given to the chairman and members of the association's management and audit boards who are not public officials, and all kinds of allowances, travel allowances and compensations, and the daily and travel allowance amounts to be given to the members to be assigned for the services of the association,

10-Deciding on the association's joining and leaving the federation,

11-Deciding on the opening of the branches of the association and authorizing the board of directors to carry out the transactions related to the branch decided to be opened,

12-The association's international activities, joining or leaving associations and organizations abroad as a member,

13-The foundation of the association,

14- Dissolution of the Association,

15- Examining and deciding on other suggestions of the board of directors,

16- As the most authoritative organ of the association, performing the works not given to another organ of the association and using the authorities,

17- Fulfilling other duties specified in the legislation by the general assembly,
 

Formation, Duties and Authorities of the Board of Directors

Article 10 - The Management is elected by the general assembly as 1 Chairman, 6 full and 7 substitute members.

Under the chairmanship of the chairman, the board of directors determines the vice-chairmen, the secretary-general, the treasurer and the members by making a decision at the first meeting after the election. 

The board of directors can be called to a meeting at any time, provided that all members are notified. It convenes with the presence of one more than half of the total number of members. Decisions are taken by the absolute majority of the total number of members attending the meeting. 

If there is a vacancy in the original membership of the board of directors due to resignation or other reasons, it is obligatory to call the substitute members for duty in the order of the majority of the votes they received in the general assembly. 

The member who does not attend the Board of Directors meeting for 3 consecutive times; Membership of the board of directors is automatically terminated, and a substitute member is taken in its place.

Duties and Authorities of the Board of Directors 

The board of directors fulfills the following:

1-To represent the Association or to authorize one of its members or a third party in this regard,
2-To make the transactions related to the income and expense accounts and to prepare the budget for the next period and present it to the general assembly,

3-Preparing the regulations regarding the activities of the association and submitting them to the approval of the general assembly,

4- Purchasing immovable property, selling movable and immovable properties belonging to the association, having a building or facility constructed, making a lease agreement, establishing a pledge, mortgage or real rights in favor of the association, with the authorization given by the general assembly,

5-To ensure that the procedures regarding opening a branch are carried out with the authorization given by the General Assembly,

6-To ensure that the branches of the association are audited,

7-To ensure the opening of representative offices where deemed necessary,

8- To implement the decisions taken in the general assembly,

9- At the end of each operating year, to prepare the operating account statement or balance sheet and income statement of the association and the report explaining the work of the board of directors, to present it to the general assembly when convened,

10-To ensure the implementation of the budget,

11-To decide on the admission or expulsion of members from the association,

12-To take and implement all kinds of decisions within the scope of its authority in order to realize the purpose of the association,

13- To carry out other duties and to use the authorities given to him by the legislation,

Composition, Duties and Authorities of the Supervisory Board

Article 11 - The supervisory board is elected by the general assembly as three principal and three substitute members. 

If there is a vacancy in the original membership of the supervisory board due to resignation or other reasons, it is obligatory to call the substitute members for duty according to the order of the majority of votes they received in the general assembly.

Duties and Powers of the Supervisory Board

supervisory board; It audits the association in accordance with the principles and procedures determined in the statute of the association and at intervals not exceeding one year, whether the association operates in line with the purpose and the work to be carried out in order to achieve the purpose stated in its statute, and whether the books, accounts and records are kept in accordance with the legislation and the association's statute. presents a report to the board of directors and to the general assembly when it convenes.

The supervisory board calls the general assembly for a meeting when necessary. 

Income Sources of the Association 

Article 12- The income sources of the association are listed below.

1-Member fee: 20 TL as entrance fee and 100 TL annual fee is collected from members. This amounts to increase or decrease the general meeting is authorized,

2-Branch fee: 50% of the member fees collected by the branches to cover the general expenses of the association is sent to the headquarters every six months,

3- The donations and aids made by real and legal persons to the association voluntarily,

4- Income from activities such as tea and dinner meetings, excursions and entertainment, education, representation, concerts, sports competitions and conferences organized by the Association,

5-Income from the assets of the association,

6- Donations and aids to be collected in accordance with the provisions of the legislation on aid collection,

7- Earnings from commercial activities undertaken by the Association in order to provide the income it needs to achieve its purpose,

8-Grants, donations and loans to be received to propose useful projects and services for those in need, and to realize these projects in person.

9- Other income.

 

 

 

Bookkeeping Principles and Procedures of the Association and Books to be Keeped 

Article 13- Bookkeeping principles;

The Association is to keep account books according to the principles. However, if the annual gross income exceeds the limit specified in Article 31 of the Associations Regulation, a book is kept on the basis of the balance sheet starting from the following accounting period. 

In the case of switching to the balance sheet principle, if the limit is lowered below the above-mentioned limit in two consecutive accounting periods, it can be returned to the operating account principle as of the following year. 

Regardless of the limit stated above, books can be kept on the basis of the balance sheet with the decision of the board of directors.

In case of opening a commercial enterprise of the Association, a book is also kept for this commercial enterprise in accordance with the provisions of the Tax Procedure Law.

Registration Procedure

The books and records of the association are kept in accordance with the procedures and principles specified in the Associations Regulation. 

Books to Keep

The following books are kept in the association.

  1. a) The books to be kept on the basis of the operating account and the principles to be followed are as follows:

    1-Decision Book: The decisions of the board of directors are written in this book in order of date and number, and six of the decisions are signed by the members attending the meeting.

    2-Member Registry: Identity information, entry and exit dates of those who enter the association as a member are recorded in this book. Entry and annual dues paid by members can be recorded in this book.

    3- Document Registry Book: Incoming and outgoing documents are recorded in this book with date and sequence number. The original copies of incoming documents and outgoing documents are filed. Incoming or outgoing documents via e-mail are stored by printing. 

4-Asset Book: The date and form of acquisition of the fixtures belonging to the Association, the places where they are used or given, and the deletion of those who have expired are recorded in this book.  
 

5-Business Account Book: Income received and expenses incurred on behalf of the Association are clearly and regularly recorded in this book.

6-Receipt Document Registry: Serial and sequence numbers of receipt documents, names, surnames and signatures of those who received and returned these documents, and the dates they received and returned are recorded in this book. 

b) The books to be kept on the basis of the balance sheet and the principles to be followed are as follows:

The books recorded in the 1st, 2nd, 3rd and 6th sub-clauses of paragraph 1-(a) are also kept in case of keeping a book on the basis of balance sheet.

2-Journal Book, General Ledger and Inventory Book: The method of keeping and recording these books is made in accordance with the Tax Procedure Law and the Accounting System Implementation General Communiqués published pursuant to the authorization given by this Law to the Ministry of Finance.

Certification of Books

Before starting to use the books, which are obligatory to be kept in the association, they are certified by the Provincial Directorate of Associations or notary public. The use of these books is continued until the pages are finished and the intermediate approval of the books is not done. However, it is obligatory to re-certify each year, in the last month preceding the year in which it will be used, for the books kept on the basis of the balance sheet and the form or continuous form sheets.

Income Statement and Balance Sheet Arrangement

In case of keeping records on the basis of business account, “Operation Account Table” is prepared at the end of the year (31 December) (specified in ANNEX-16 of the Associations Regulation). In the case of keeping books on the balance sheet basis, at the end of the year (31 December), the balance sheet and income statement are prepared based on the Accounting System Implementation General Communiqués published by the Ministry of Finance.

Association's Income and Expense Transactions 

Article 14- Income and expense documents;

The income of the association is collected with the “Receipt Certificate” (a sample of which can be found in ANNEX-17 of the Associations Regulation). In case the income of the association is collected through banks, documents such as receipts or account statements issued by the bank replace the receipt document.

The expenses of the association are made with expenditure documents such as invoice, retail sales receipt, self-employment receipt. However, for the payments of the association within the scope of Article 94 of the Income Tax Law, an expense note is issued in accordance with the provisions of the Tax Procedure Law, and for the payments not included in this scope, a “Expense Receipt” (for example, in ANNEX-13 of the Associations Regulation) is issued.

Deliveries of free goods and services to individuals, institutions or organizations by the association (an example of which is found in Annex-14 of the Associations Regulation) are made with the “Aid in Kind Delivery Document”. Free goods and service deliveries to be made by individuals, institutions or organizations to the association (an example of which can be found in ANNEX-15 of the Associations Regulations) are accepted with the "Certificate of Receipt of Donation in Kind".
 

Receipt Documents

“Receipt Documents” (in the form and size shown in ANNEX-17 of the Associations Regulation) to be used in the collection of the association's revenues are printed in the printing house with the decision of the board of directors. 

The relevant provisions of the Associations Regulation shall be followed in the matters related to the printing and control of the receipt documents, their receipt from the printing house, their recording in the book, the handover between the old and new treasurers, and the use of these receipts by the person or persons who will collect income on behalf of the association and the delivery of the collected revenues. .

Licence of authorization

The person or persons who will collect income on behalf of the association are determined by the decision of the board of directors, including the term of authorization. The “Certificate of Authorization” containing the clear identity, signature and photographs of the persons who will collect income (an example of which is found in ANNEX-19 of the Associations Regulation) is prepared by the association in three copies and approved by the chairman of the board of directors of the association. A copy of the Certificate is given to associations units. Changes regarding the authorization certificate are notified to the associations unit within fifteen days by the chairman of the board of directors. 

Persons who will collect income on behalf of the association can only start collecting income after a copy of the authorization documents issued in their name is given to the associations unit. The use, renewal, return and other issues of the authorization certificate shall be acted upon in accordance with the relevant provisions of the Associations Regulation.

Retention Period of Income and Expense Documents

Except for the books, receipts, expenditure documents and other documents used by the association are kept for 5 years in accordance with the number and date order in the books in which they are recorded, without prejudice to the periods specified in special laws. 

Submitting a Declaration 

Article 15-, After the “Association Statement” regarding the activities of the previous year and the results of the income and expense transactions as of the end of the year (presented in Annex-21) of the Associations Regulation, is approved by the board of directors of the association, within the first four months of each calendar year, the association given to the relevant local authority by the chairman. 

Notification Obligation 

Article 16- Notifications to be made to the local authority;

General Assembly Result Notification

Within thirty days following the ordinary or extraordinary general assembly meetings, the "General Assembly Result Notification" and its annexes, which include the original and substitute members elected to the board of directors and supervisory boards and other bodies (presented in Annex-3 of the Associations Regulation), are notified to the relevant local authority by the chairman of the board of directors. :

General assembly result notification;

1- A copy of the general assembly meeting minutes signed by the chairman of the council, vice-chairmen and the clerk,

2- If the bylaws have been amended, a copy of the new and old version of the changed articles of the charter and the last form of the association's charter signed by the board of directors is attached to each page.

Notification of Immovables

The immovables acquired by the association are notified to the local authority by filling out the “Immovable Property Statement” (presented in Annex-26) of the Associations Regulation within thirty days from the registration to the land registry. 

Notification of Receiving Assistance from Abroad

In case of receiving assistance from abroad by the association, they fill out the "Notification of Receiving Assistance from Abroad" (specified in Annex-4 of the Associations Regulation) in two copies and notify the local authority before receiving assistance.

A copy of the decision of the board of directors to receive aid from abroad, the protocol, contract and similar documents, if any, and a copy of the receipt, extra and similar document regarding the account to which the aid is transferred is also attached to the notification form.

It is obligatory to receive cash aids through banks and to fulfill the notification requirement before they are used.

Notification on Joint Projects with Public Institutions and Organizations

The protocol and the sample of the project (shown in Annex-23) of the Associations Regulation regarding the joint projects carried out with the public institutions and organizations on the subjects related to the field of duty of the association, are attached to the "Project Notice" and given to the governorship of the place where the headquarters of the association is located, within one month following the protocol date.

Notification of Changes

Change in the settlement of the association (specified in Annex-24 of the Associations Regulation) “Residential Change Notification”; Changes in the organs of the association other than the general assembly meeting (specified in Annex-25 of the Associations Regulation) are notified to the local authority within thirty days following the change by filling out the “Notification of Changes in the Organs of the Association”. 

Changes made in the charter of the association are also notified to the local authority in the annex of the general assembly result notification within thirty days following the general assembly meeting where the bylaws were changed.

Internal Audit of the Association

Article 17- Internal audit can be carried out by the general assembly, the board of directors or the supervisory board of the association, or it can be audited by independent audit firms. The fact that an audit has been carried out by the general assembly, the board of directors or independent audit firms does not remove the obligation of the audit board.

Audit of the association is carried out by the supervisory board at least once a year. The general assembly or the board of directors may conduct audits or have independent auditing firms perform audits when deemed necessary.

Borrowing Procedures of the Association 

Article 18- In order to realize the purpose of the association and to carry out its activities, if needed, it may borrow with the decision of the board of directors. This borrowing may be in the purchase of goods and services on credit as well as in cash. However, this borrowing cannot be made in amounts that cannot be covered by the income sources of the association and in a way that will make the association insolvent.

Establishment of the Branches of the Association

Article 19- The association may open branches in places deemed necessary by the decision of the general assembly. For this purpose, the founders' board of at least three persons authorized by the board of directors of the association submits the branch establishment notification and necessary documents specified in the Associations Regulation to the highest civilian authority of the place where the branch will be opened.

Duties and Authorities of Branches 

Article 20-Branches are the internal organization of the association, which does not have a legal personality, is responsible and authorized to carry out autonomous activities in line with the purpose and service subjects of the association, and is responsible for its receivables and debts arising from all its transactions.

Bodies of Branches and Provisions Applicable to Branches

Article 21- The organs of the branch are the general assembly, the board of directors and the supervisory board.

The General Assembly is composed of branches of registered members. The board of directors is elected by the branch general assembly as 7 (seven) principal and 7 (seven) substitute members, and the supervisory board as 3 principal and 3 substitute members. 
Duties and authorities of these bodies and other provisions regarding the association in this charter are also applied in the branch within the framework stipulated by the legislation.

Meeting Time of the General Assemblies of the Branches and How to Represent them in the General Assembly of the Headquarters

Article 22- Branches are obliged to finish the ordinary general assembly meetings at least two months before the general assembly meeting of the head office.

The ordinary general assembly of the branches convenes every 3 years, in September, on the day, place and time to be determined by the branch board of directors. 

Branches are obliged to notify a copy of the general assembly result notification to the local authority and the headquarters of the association within thirty days following the date of the meeting.

Branches are represented by optional and natural delegates in the general assembly of the headquarters. The chairman of the board of directors and supervisory board of the branches, as natural delegates, is 1 (one) for every 15 (fifteen) members registered in the branch, if the remaining members are more than 5 (five) or the total number of members is less than 15 (fifteen). The delegates to be elected as one among the members also have the right to attend the general assembly of the headquarters as an elective delegate, representing the branch. 

Delegates elected at the last branch general assembly attend the headquarters general assembly. Members of the headquarters' administrative and supervisory board participate in the general meeting of the headquarters, but they cannot vote unless they are elected as a delegate on behalf of the branch. 

Those who are in charge of the management or supervisory board of the branches leave their duties in the branch when they are elected to the headquarters management or supervisory board.

Opening a Representation 

Article 23- The association may open a representative office with the decision of the board of directors in order to carry out the activities of the association where it deems necessary. The address of the representative office is notified in writing to the local administrative authority by the person or persons appointed as the representative by the decision of the board of directors. Representatives may not be represented in the General Assembly. Branches cannot open representative offices.
 

How to Amend the Bylaw

Article 24- Bylaws can be changed with the decision of the general assembly. 

A 2/3 majority of the members who have the right to attend and vote in the general assembly is required in order to amend the bylaws in the general assembly. In case the meeting is postponed due to lack of majority, majority is not sought in the second meeting. However, the number of members attending this meeting cannot be less than twice the total number of members of the board of directors and supervisory board.

The majority of the decisions required for the amendment of the bylaws is 2/3 of the votes of the members attending the meeting and having the right to vote. In the general assembly, the vote on the amendments to the bylaws is made openly.  
 

Dissolution of the Association and Liquidation of Assets 

Article 25- The general assembly may decide to dissolve the association at any time. 

In order to discuss the termination issue at the general assembly, 2/3 majority of the members who have the right to attend and vote in the general assembly is required. In case the meeting is postponed due to lack of majority, majority is not sought in the second meeting. However, the number of members attending this meeting cannot be less than twice the total number of members of the board of directors and supervisory board.

The majority of the decisions required for the termination decision to be taken is 2/3 of the votes of the members attending the meeting and having the right to vote. Decision of termination voting is made openly in the General Assembly. 

Liquidation Procedures

When the dissolution decision is made by the general assembly, the liquidation of the money, property and rights of the association is made by the liquidation board, which consists of the last board members. These transactions start from the date of the general assembly decision regarding the termination or the date when the automatic termination becomes final. In case of liquidation, the phrase “Be My Future Association” is used in the name of the association in all transactions during the liquidation period. 

The liquidation board is in charge and authorized to complete the liquidation of the money, property and rights of the association from beginning to end in accordance with the legislation. This board first examines the accounts of the association. During the examination, the books, receipts, expenditure documents, title deed and bank records and other documents belonging to the association are determined and their assets and liabilities are recorded in a report. During the liquidation proceedings, the creditors of the association are called and their assets, if any, are converted into cash and paid to the creditors. In case the association is a creditor, the receivables are collected. All money, property and rights remaining after the collection of receivables and payment of debts are transferred to the place determined in the general assembly. If the place to be transferred is not determined in the general assembly, it is transferred to the association closest to its purpose in the province where the association is located and which has the most members on the date of its dissolution.

All transactions regarding liquidation are shown in the liquidation report and liquidation transactions are completed within three months, except for the additional periods given by the local authorities based on a justified reason.

Following the completion of the liquidation and transfer procedures of the money, property and rights of the association, the situation must be notified to the local authority of the place where the headquarters of the association is located by the liquidation board within seven days, and the liquidation report must be attached to this letter. 

The last members of the board of directors, as the liquidation board, are responsible for keeping the books and documents of the association. This duty can be conferred to a board of member too. These books and records must be kept for five years.  

 

Lack of Provision

Article 26- For matters not specified in this statute, the Associations Law, the Turkish Civil Code, the Associations Regulation issued with reference to these laws and the provisions of other relevant legislation on associations are applied.

Temporary Article 1- The founding members of the board of directors who will represent the association and carry out the activities and transactions related to the association until the association bodies are formed in the first general assembly are listed in the table below.

This statute consists of 26 (twenty-six) articles and 1 (one) temporary article.
